This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity, "You" or "Your") and Sekura LLC ("Sekura," "We," "Us," or "Our") for the Sekura software application, including any associated documentation, updates, and support services (collectively, the "Software").
By purchasing, downloading, installing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not install or use the Software and contact us for a refund within 30 days of purchase.
Important Encryption Warning
We cannot recover your data if you forget your password. Encryption is irreversible without the correct password. You are solely responsible for remembering your passwords and maintaining backups of important files. Please test the encryption/decryption process before encrypting critical data.
1. Grant of License
1.1 License Grant
Subject to your compliance with this Agreement and payment of applicable fees, Sekura grants you a limited, non-exclusive, non-transferable, revocable license to:
- Install and use the Software on devices you own or control
- Use the Software for personal or internal business purposes
- Make one backup copy of the Software for archival purposes
1.2 License Type
Your purchase includes:
- Personal License: Use on a single device owned by you
- Perpetual license to use the version of the Software you purchased
- Access to software updates and bug fixes
1.3 What This License Does NOT Grant
This is a license to use the Software, not a sale. You do not acquire any ownership rights to the Software or its source code.
2. License Activation and Validation
2.1 License Key
Upon purchase, you will receive a unique license key required to activate the Software. This key is personal to you and must not be shared.
2.2 Activation
- The Software requires online activation using your license key
- After activation, the Software operates offline
- Periodic online validation may occur to verify license validity
- You may deactivate and transfer your license between your authorized devices
3. Restrictions
You may NOT:
- Distribute: Share, sell, rent, lease, sublicense, or distribute the Software or your license key
- Modify: Reverse engineer, decompile, disassemble, or attempt to derive the source code
- Remove Protections: Circumvent, disable, or tamper with license validation or security features
- Exceed License Limits: Install the Software on more devices than your license permits
- Illegal Use: Use the Software for any illegal purpose or to violate any laws
You acknowledge that the Software uses encryption technology and you are responsible for complying with all applicable export control laws.
4. Updates and Support
4.1 Software Updates
- Bug Fixes and Security Updates: Provided free during your update period
- Minor Updates: Included during your update period
- Major Versions: May require separate purchase or upgrade fee
- No Obligation: We are not obligated to provide updates but will make reasonable efforts to fix critical issues
4.2 Automatic Updates
The Software may check for and download updates automatically. You can disable this in settings, but we recommend keeping the Software updated for security.
5. Ownership and Intellectual Property
5.1 Sekura's Rights
Sekura owns all rights, title, and interest in the Software, including:
- All source code, object code, and algorithms
- All copyrights, trademarks, trade secrets, and patents
- All documentation and materials
- All updates and derivative works
5.2 Your Content
You retain all rights to files you encrypt or process using the Software. Sekura has no rights to, and cannot access, your encrypted content.
6. Data Processing and Privacy
6.1 Local Processing
The Software processes all data locally on your device. We do not have access to:
- Your files or encrypted content
- Your encryption keys or passwords
- Results from sensitive data scans
6.2 Optional Data Collection
- Crash reports and usage analytics are optional and disabled by default
- You can enable or disable these at any time in settings
- Even when enabled, no file content or personal data is collected
7. Disclaimers and Limitations of Liability
7.1 WARRANTY DISCLAIMER
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEKURA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy, reliability, or correctness
- Uninterrupted or error-free operation
7.2 No Guarantee of Data Recovery
IMPORTANT - ENCRYPTION WARNING:
- Encryption is irreversible without the correct password
- We CANNOT recover your data if you lose your password
- We CANNOT decrypt your files under any circumstances
- You are solely responsible for:
- Remembering your passwords
- Maintaining backups of important files
- Testing the encryption/decryption process before encrypting critical data
7.3 LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
WE ARE NOT LIABLE FOR:
- Loss of data, profits, business, or opportunities
- Data corruption or loss due to forgotten passwords
- Indirect, incidental, consequential, or punitive damages
- Damages resulting from unauthorized access to your device
- Any damages exceeding the amount you paid for the Software
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS RELATED TO THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR LICENSE.
8. Termination
8.1 Termination by You
You may terminate this Agreement at any time by:
- Uninstalling the Software from all your devices
- Destroying all copies of the Software in your possession
- Ceasing all use of the Software
Termination does not entitle you to a refund unless within our refund policy period.
8.2 Termination by Sekura
We may terminate this Agreement immediately if you:
- Breach any term of this Agreement
- Use the Software illegally
- Exceed the scope of your license
- Share or distribute your license key
8.3 Effect of Termination
Upon termination:
- Your license to use the Software ends immediately
- You must uninstall the Software and destroy all copies
- Your encrypted files remain encrypted (we cannot decrypt them)
9. Support and Maintenance
9.1 Technical Support
We provide:
- Email support during business hours (Monday-Friday, 9 AM - 5 PM Pacific Time)
- Response within 48-72 business hours for most inquiries
- Documentation and user guides
9.2 Support Limitations
We do NOT provide:
- Password recovery services (not technically possible)
- Support for modified or reverse-engineered versions
- Support for pirated or unauthorized copies
- On-site support or installation services

10. Refund Policy
10.1 30-Day Money-Back Guarantee

10.2 Refund Conditions

- For first-time purchases only (no serial refunding)

After 30 days, all sales are final. This is a software product that cannot be "returned" in the traditional sense.

This Agreement is governed by the laws of the State of California, United States, without regard to conflict of law principles.
11.2 Dispute Resolution

Arbitration Agreement (for claims under $10,000):
- Disputes will be resolved through binding arbitration
- Arbitration will be conducted in San Jose, California or remotely
- Each party pays their own costs unless otherwise awarded
Class Action Waiver: You agree to resolve disputes individually and waive the right to participate in class actions or class arbitrations.
